The decision of the Competition Board dated 15.12.2014 and numbered 14-52/903-411 regarding the authorization of the acquisition by Lesaffre et Compaigne of the full control of Dosu Maya Mayacılık A.Ş., controlled by Yıldız Holding A.Ş., was annulled by the decision of Ankara 8^th Administrative Court dated 19.01.2017 and numbered 2015/2488 E., 2017/172 K. Consequently, the final examination was conducted according to Competition Board decision dated 24.05.2017 and numbered 17-17/252-M.

As a result of the final examination, the Competition Board took the decision dated 31.05.2018 and numbered 18-17/316-156. Accordingly it was decided that

1. The notified transaction is subject to authorization under the scope of article 7 of the act no 4054 and the Communiqué no. 2010/4 issued based on that article on Mergers and Acquisitions Calling for the Authorization of the Competition Board,
2. The transaction concerned would result in creating a dominant position or strengthening an existing dominant position with respect to article 7 of the Act no 4054 and thus significant lessening of competition, therefore it shall be authorized within the framework of the commitments dated 10.11.2014 and numbered 6365 and dated 25.04.2018 and numbered 3329.

Judicial review for the decision before Ankara Administrative Courts shall be possible within 60 days as of the notification of the reasoned decision.
