Statement concerning the conditional authorization of the acquisition of Mey İçki by Diageo Plc (27.12.2012)

The acquisition, by the British alcoholic beverages producer Diageo Plc (Diageo), of Mey İçki Sanayi ve Ticaret A.Ş’nin (Mey İçki) controlled by TPG Lux Mey S.a.r.l and Eurasia Beverages S.a.r.l. was given conditional authorization in the Competition Board meeting dated 17.8.2011, within the framework of the commitments undertaken by Diageo.
In accordance with the conditions established, Diageo shall
- transfer the "Maestro" brand in the gin market and the "Hare" brand in the liquor market to independent appropriate purchaser third party or third parties within the divestiture period set by the Board, together with all of the rights, tangible and intangible assets, permits and licenses granted by administrative authorities related to the ownership of these brands.
- In addition, if requested by the purchaser or purchasers found appropriate by the Board, the production facility in Bilecik will also be divested by Diageo within the divestiture period and within the framework of other obligations specified by the Board. 
 
Competition Authority has granted "conditional authorization" to the transaction within the framework of these commitments, which are expected to eliminate the risk of a significant decrease in competition. In its meeting dated 3.8.2011, The Board had taken the relevant transaction under "final examination" due to its potential anti-competitive effects in the relevant markets, and in response the acquiring undertaking had made commitments in order to eliminate any anti-competitive effects.
