As a result of the examination conducted, the acquisition of full control over Dosu Maya Mayacılık A.Ş. by Lesaffre et Compaigne was authorized subject to the commitments given with the Competition Board decision dated 15.12.2014 and numbered 14-52/903-411. Later, 8th Administrative Court of Ankara took the decision dated 19.01.2017 and numbered 2015/2488 E., 2017/172 K., annulling the aforementioned Board decision. In order to eliminate the competitive concerns raised in the grounds of the annulment decision, the acquisition in question was again taken under final examination, with the decision dated 24.05.2017 and numbered 17-17/252-M.
As known, article 7 of the Act no 4054 on the protection of Competition tasks the Competition Board with the duty to control merger and/or acquisition transactions which will result in a significant decrease in competition within markets. Within the framework of article 10 of the Act, the Board may take those transactions which require a more in-depth examination in terms of their effect on the competitive structure under final examination. However taking the transaction under final examination does not necessarily mean that the transaction is not allowable by nature.
